1. What Babuky is

Babuky is an e-commerce marketplace that connects buyers with local merchants for food, nearby shopping and nationwide shipping, and lists local businesses and services. Babuky (for buyers) and Babuki (babuki.com, for merchants) are two sides of the same marketplace, both operated by us. Merchants are independent sellers; the merchant, not Babuky, is the seller of the goods. With Ride you can book a cab or auto, and with Parcel you can send a parcel through our delivery partners, within your city or by courier anywhere in India.

2. How payment and settlement work

• Payments through Babuky checkout are collected and settled by an RBI-authorised payment aggregator. We do not keep merchants' money in a wallet.
• Every order is itemised before you pay: (a) the item subtotal, which belongs to the merchant; (b) any food GST we collect and pay as the platform; (c) the delivery fee, where our delivery partners deliver; (d) handling of 5% of the item total, GST included, shown with the delivery fee as "Delivery & Handling", which covers payment processing; and (e) a platform fee of 10% of the item total, up to ₹20, GST included, charged only when the merchant has a free listing. Me2Us4U Premium members, and members of a VaultGate community with a paid subscription, pay no platform fee. Anyone can pay it with Me2Us4U credits, in full or in part. The waiver and credits change only the platform fee — never the items, delivery, handling or food GST — and never what the merchant is paid.
• The merchant's share — the item subtotal, plus the delivery fee when the merchant delivers the order itself — is settled to the merchant's verified bank account within 1–2 working days of the merchant confirming the order, according to bank settlement cycles. The only deductions are tax the law requires us to withhold as an e-commerce operator (income-tax TDS under Section 194O and GST TCS under Section 52). No commission is charged.
• A merchant on a paid Babuki plan may instead take payment through its own connected payment gateway, but only together with its own delivery or store pickup. You then pay that merchant directly through its gateway, and we record the order's payment and delivery status. Orders delivered by our delivery partners are always paid through Babuky checkout.
• Payment by cash on delivery, to a UPI ID, or in any other way outside checkout is not offered for orders placed on Babuky.

3. Your account

• You sign in with your Me2Us4U account. One Me2Us4U account signs you in to Me2Us4U, VaultGate, Wedora, Babuki and Babuky. Me2Us4U verifies your phone number and email and keeps your password; Babuky never sees it. Your Me2Us4U account is governed by the Me2Us4U Terms at me2us4u.com/terms as well as these terms.
• You must be at least 18 and provide accurate details. One account belongs to one person and can hold more than one role (buyer, fleet owner, driver). Shops are run through Babuki, with the same Me2Us4U account. Keep your Me2Us4U password private; you are responsible for activity on your account.
• While you have a Babuky order that isn't finished, your Me2Us4U account can't be deleted, so your delivery or refund always has somewhere to go.
• We may suspend an account that is used for fraud, abuse or in breach of these terms.

4. Orders, prices and fees

• A merchant sets the price of its items. The merchant receives the full item price; there is no hidden markup in it.
• Your total shows the item price, applicable taxes, Delivery & Handling and an itemised platform fee as separate lines before you pay. Handling is 5% of the item total, GST included, shown with the delivery fee as "Delivery & Handling". The platform fee is 10% of the item total, up to ₹20, GST included, and covers settlement costs. A shop on an active Babuki plan has no platform fee.
• Me2Us4U members and credits: Me2Us4U Premium members, and members of a VaultGate community with a paid subscription, pay no platform fee. Anyone can pay it with Me2Us4U credits, in full or in part. Checkout shows the waiver, or lets you choose to use your credits, before you pay; your invoice states the waiver and its reason, or the credits used. Credits have no cash value, can't be transferred, and are only ever returned to your Me2Us4U balance, never as money. Which memberships waive the fee may change; checkout always shows what applies to your order.
• An order is confirmed once the merchant accepts it. Once paid, you cannot cancel an order. If a shop declines your order, or doesn't confirm it within 30 minutes, you are refunded in full, to the way you paid. Me2Us4U credits you used go back to your Me2Us4U balance.

5. Payments

Payments use UPI, cards, netbanking and wallets through our RBI-authorised payment partner. We do not see or store your card or bank details. All amounts are in Indian rupees. See our Cancellations & Refunds policy.

6. Delivery

Delivery is covered in our Shipping & Delivery policy. Delivery times are estimates, not guarantees.

7. Shops and services from Babuki

Shops that sell through Babuki appear on Babuky and are paid as described above. Service businesses (for example tuition centres and clinics) are listed for enquiries and bookings only: no payment for them is taken on Babuky.

8. Merchants, fleet owners and drivers

• Partners must complete onboarding and verification before they can sell, run a fleet or drive, and must provide accurate business and identity details.
• Fleet owners pay a one-time security deposit to use the platform. It is non-refundable; this is shown and must be accepted before payment.
• Merchants are settled as described in "How payment and settlement work". Where our delivery partners deliver, we arrange and track the delivery. The merchant, not Babuky, is the seller of the goods.
• Partners are responsible for the quality, legality and safe handling of what they sell or provide, and for their own tax obligations.

9. Acceptable use

You must not misuse Babuky: no fraudulent orders, no attempts to access other accounts or our systems, no harassment of merchants or drivers, and no listing of illegal or unsafe goods.

10. Our responsibility

We work to keep Babuky available and accurate, but it is provided as-is. We are not liable for a merchant's goods or services, or for losses we could not reasonably foresee. To the extent the law allows, our total liability for any claim relating to an order is limited to the amount you paid for that order. Nothing in these terms limits liability that cannot be limited by law, or your rights under the Consumer Protection Act, 2019.

12. Changes, governing law and disputes

We may update these terms; the date at the top shows the latest version, and continued use means you accept it. These terms are governed by the laws of India. The courts at Chennai, Tamil Nadu have exclusive jurisdiction, subject to any right you have to approach a consumer forum.
